White-label Terms
Draft. This page is being reviewed by our lawyer and may change before it applies. Questions: privacy@mantab.ai.
These terms apply on top of the Subscription Terms when an agency buys a white-label plan or the agency pilot. Where they conflict, these terms prevail for agency plans.
W1. Who’s who
W1.1 The agency is our customer. Each business the agency adds to its plan is the agency’s own client (an “end client”), never ours. Our contract is with the agency only.
W1.2 The agency is responsible for its contract with each end client, its own price to them, and anything it promises them.
W2. Adding and removing end clients
W2.1 Each end client is one unit of the plan, priced per end client per month in graduated bands as published on our website at purchase. Each band is charged at its own price.
W2.2 The agency adds and removes end clients in its billing portal, at any time. A removed end client stops at the end of the billing period already paid for and is not charged again.
W2.3 We may decline to start work for a specific end client if the work would be unlawful, would breach these terms, or would cause serious harm to our reputation. We tell the agency before any work starts, and the agency is not charged for that end client.
W3. Authority and data
W3.1 The agency confirms that, for every end client it adds, it has (a) the end client’s permission for us to access their systems and data for the Services, and (b) a written data processing agreement with the end client that allows the agency to use sub-processors.
W3.2 For end client data, the agency acts as the end client’s processor and we act as the agency’s sub-processor, under the Data Processing Agreement, Part B. The agency passes on to us any instruction the end client gives about its data.
W3.3 The agency gives us one approver per end client (clause 8.2 of the Subscription Terms applies per end client).
W4. White-label rules
W4.1 We deliver under the agency’s brand. Summaries, Looms, reports and updates carry no MantaB name or logo. The agency gives us its brand assets and approves the format once.
W4.2 The agency owns the relationship. All communication with the end client goes through the agency. We don’t talk to end clients, on calls or otherwise.
W4.3 Some unavoidable traces of who did the work can remain in the end client’s tools: named user accounts, change logs and audit history. We use logins in our people’s own names, as security and the vendors’ terms require. The agency decides what to tell its end client about subcontracting.
W4.4 The agency must not tell an end client or anyone else that MantaB will do something these terms or the plan don’t include.
W5. We don’t approach the agency’s clients
W5.1 During the agency’s plan and for 12 months after its last end client is removed, we will not solicit, or accept work directly from, any end client the agency added, unless the agency agrees in writing.
W5.2 If an end client approaches us directly, we refer them back to the agency.
W6. The agency pilot
W6.1 The pilot covers one end client for one week (5 business days from the day we have access and an agreed success goal). It is a one-time payment of €500 excluding VAT (Spanish agencies: €570 total, with IVA added and IRPF withheld).
W6.2 What’s included: a review of the end client’s CRM, a prioritised list of fixes, one or two fixes shipped, and a white-label summary and Loom on day 5.
W6.3 The pilot fee is non-refundable once the week has started. If access is not granted within 14 days of payment, the agency can ask for a full refund.
W6.4 Credit. If the agency starts a white-label plan within 14 days of the pilot’s day 5, we take €500 off its first invoice. Continuing is the agency’s choice: the pilot does not turn into a subscription by itself.
W7. Turnaround and pace
W7.1 Turnaround times for end clients are those in clause 4.2 of the Subscription Terms (Fast Fix within 3 business days, Standard Build within 7). Any pace figure on our website, such as a delivery every 48 hours on average, describes typical pace and is not a commitment.
W8. Calls, reports and the agency’s markup
W8.1 We don’t hold calls with end clients (W4.2). Every agency gets one optional monthly call with us.
W8.2 The agency sets its own price to its end clients. Our price to the agency stays the published one.
